Acceptance of Terms
By accessing and using the PegaSys website (pegasysltd.com) or engaging our services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or services.
These terms apply to all visitors, clients, and anyone who accesses or uses our services.
Our Services
PegaSys provides digital engineering and technology services including, but not limited to:
• Full-stack web application development
• Mobile application development (iOS and Android)
• UI/UX design and design systems
• Technical SEO and performance optimisation
• Cloud architecture and infrastructure
The specific scope, deliverables, timeline, and pricing for any client engagement are defined in a separate project agreement or statement of work agreed upon between PegaSys and the client prior to commencement of work.
Project Agreements
All client projects are governed by a separate project agreement that includes:
• Defined scope of work and deliverables
• Agreed timeline and milestones
• Payment terms and schedule
• Intellectual property ownership terms
In the event of any conflict between these Terms of Service and a signed project agreement, the project agreement shall take precedence.
Intellectual Property
Upon full payment of all agreed fees, clients receive full ownership of the custom code, designs, and deliverables created specifically for their project.
PegaSys retains the right to:
• Display completed work in our portfolio unless explicitly agreed otherwise in writing.
• Retain ownership of any proprietary tools, frameworks, or boilerplate code used during development that was not created exclusively for the client's project.
Third-party libraries, frameworks, and tools used in your project remain subject to their respective open-source licences.
Payment Terms
Payment terms, schedules, and methods are agreed upon in the project agreement before work begins. Generally:
• A deposit may be required before commencement of work.
• Milestone-based payments are tied to agreed deliverables.
• Final payment is due upon project completion and delivery.
Late or missed payments may result in suspension of work until the outstanding balance is resolved. PegaSys reserves the right to withhold delivery of final assets until full payment is received.
Revisions and Scope Changes
Any changes to the agreed project scope — including additional features, redesigns, or functionality not covered in the original agreement — are considered out-of-scope and will be subject to additional fees and revised timelines.
We will always communicate and agree on scope changes in writing before any additional work is carried out.
Limitation of Liability
PegaSys provides services on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, PegaSys shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of our services or website.
Our total liability in connection with any project shall not exceed the total fees paid by the client for that specific project.
Confidentiality
Both parties agree to keep confidential any proprietary or sensitive business information shared during the course of an engagement. This includes client business strategies, technical infrastructure details, and financial information.
This obligation continues for a period of two (2) years after the conclusion of the project.
Website Use
You may use our website for lawful purposes only. You must not:
• Use the site in any way that breaches applicable local, national, or international laws or regulations.
• Transmit any unsolicited or unauthorised advertising or promotional material.
• Attempt to gain unauthorised access to any part of our website or its related systems.
Changes to These Terms
We reserve the right to update these Terms of Service at any time. The most current version will always be available at pegasysltd.com/terms. Continued use of our services following any changes constitutes your acceptance of the revised terms.
Governing Law
These Terms of Service are governed by and construed in accordance with applicable law. Any disputes arising in connection with these terms shall be subject to the exclusive jurisdiction of the relevant courts.
